By accessing or using the Inter Pipeline websites (including interpipeline.com and heartlandpolymers.com) portals (including the Heartland Customer Portal), mobile applications, and related services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. Your continued use of the Platform constitutes acceptance of these Terms. If you do not agree, you must immediately cease using the Platform.
Use of Platform & License
Subject to your compliance with these Terms, Inter Pipeline grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for lawful, personal, and non-commercial purposes in accordance with these Terms. This license does not include any right to: (a) resell or make commercial use of the Platform or its content; (b) collect or use any product listings, descriptions, or prices; (c) make derivative uses of the Platform or its content; or (d) download or copy account information for the benefit of another party.
Prohibited Uses
You may not use the Platform: (i) for unlawful, fraudulent, or harmful purposes; (ii) to transmit spam or unauthorized advertising; (iii) to gain unauthorized access to systems; (iv) to scrape or mine data; or (v) in a manner that could disable, damage, or impair the Platform.
Intellectual Property
All materials, trademarks, and content on the Platform are owned by Inter Pipeline or its licensors and are protected by intellectual property laws. No use of Inter Pipeline’s trademarks, logos, service marks, or trade names is permitted without our express written consent, except as necessary for nominative fair use or as otherwise permitted by applicable law. You may not frame or utilize framing techniques to enclose any Inter Pipeline trademark, logo, or other proprietary information (including images, text, page layout, or form) without our express written consent. You may not use any meta tags or other “hidden text” using Inter Pipeline’s name or trademarks without our express written consent. While links to the Platform are generally permitted, you may not link to the Platform in any way that falsely implies sponsorship, endorsement, or affiliation with Inter Pipeline, or that misrepresents the relationship between your website or organization and Inter Pipeline. You may view and download materials for personal, non-commercial use, provided you do not alter them. Any other use requires prior written consent. Inter Pipeline reserves the right, in its sole and absolute discretion, to require users to immediately delete, destroy, or otherwise remove any content that is used in a manner that Inter Pipeline reasonably determines to be contrary to these Terms, unlawful, infringing, or otherwise inappropriate. Users must comply with such requests within 24 hours of notification.
Privacy & Data
Your use of the Platform is also subject to Inter Pipeline’s Privacy Policy, available at https://interpipeline.com/privacy-policy/, which is incorporated by reference into these Terms. In the event of any conflict between these Terms and the Privacy Policy with respect to privacy matters, the Privacy Policy shall prevail.
Submissions & Information Provided
Certain areas of the Platform, including the Heartland Customer Portal, may allow you to submit information, feedback, comments, ideas, or other content (collectively, “Submissions”). Except for (a) personal information, which is governed by our Privacy Policy, and (b) materials designated as confidential under Section 13, all Submissions will be treated as non-confidential and non-proprietary. You grant Inter Pipeline a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your Submissions for any purpose. You represent and warrant that you own or have all rights necessary to grant this license and that your Submissions do not infringe any third-party rights or violate any applicable law.
Inter Pipeline does not pre-screen Submissions and is not responsible for content submitted by users, which does not reflect our views. We may, in our sole discretion, monitor, remove, or refuse to post any Submission that violates these Terms or that we consider objectionable. To the maximum extent permitted by law, Inter Pipeline is not liable for any Submissions or for any claim, damage, or expense arising from them.

The Platform and its content are provided ‘as is’ without warranties of any kind. Inter Pipeline does not guarantee that the Platform will be accurate, current, uninterrupted, or error-free. You are responsible for using appropriate virus protection or other protective software.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTER PIPELINE, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF INTER PIPELINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. INTER PIPELINE’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE PLATFORM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS (C$100) OR THE AMOUNT YOU PAID, IF ANY, TO ACCESS THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Inter Pipeline, its affiliates, and their respective directors, officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees and costs) of any kind or nature incurred as a result arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Platform; or (c) your violation of any third-party rights, including intellectual property, privacy, or confidentiality rights. Inter Pipeline reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully in the defense of any such claim and not to settle any such matter without Inter Pipeline’s prior written consent.

No Solicitation
Content on this Platform is for informational purposes only and does not constitute an offer or solicitation of securities.
Termination
Inter Pipeline may suspend or terminate your access to the Platform at any time without liability and without notice if you violate these Terms or applicable law.
Governing Law & Jurisdiction
These Terms and your use of the Platform are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. You agree that any disputes shall be submitted to the exclusive jurisdiction of the courts of Alberta.
General Provisions
These Terms constitute the entire agreement between you and Inter Pipeline regarding use of the Platform. If any provision is invalid, the remainder will remain in effect.
